An order becomes binding only when accepted in writing by TrueScent and any required commercial conditions have been satisfied.

We reserve the right to decline or cancel an enquiry or proposed order where reasonably necessary, including where:

Where money has been received for an order that TrueScent is unable to fulfil, any refund will be handled according to the applicable transaction terms and law.

6. Payments

Payment terms will be specified in the applicable quotation, invoice or sales agreement.

Unless expressly agreed otherwise, TrueScent is not required to commence fulfilment until required payment or payment security has been received.

Bank charges, payment-provider charges, taxes, duties, freight charges and other third-party charges may be payable by the buyer where specified in the applicable commercial agreement.

7. Perishable Goods

Flowers are perishable agricultural products.

Their condition can be affected by factors outside TrueScent's reasonable control, including weather, temperature, handling, airline delays, customs clearance, destination storage and delays after delivery.

Buyers are responsible for promptly receiving, inspecting and appropriately handling flowers after delivery.

Any quality claim must be made within the period specified in the applicable sales agreement and should include reasonable evidence, including photographs and shipment information where applicable.

8. Logistics and Delivery

Where TrueScent assists with logistics, freight or export coordination, such arrangements may involve independent third-party service providers.

Airlines, freight companies, customs agents, airports and other third parties operate independently.

Unless expressly agreed otherwise in writing, TrueScent does not guarantee the performance, timing or availability of third-party logistics providers.

Estimated delivery times are estimates and are not guarantees unless expressly stated otherwise in a written agreement.

9. Delays and Events Beyond Our Control

TrueScent will not be responsible for delay, failure or interruption caused by circumstances reasonably beyond our control.

These may include:

• Extreme weather
• Crop failure
• Pest or disease events
• Government restrictions
• Regulatory changes
• Customs delays
• Airport disruption
• Airline disruption
• Freight capacity shortages
• Strikes
• Civil unrest
• Natural disasters
• Internet or telecommunications failures
• Power or infrastructure failures
• Acts of government
• War or similar events
• Other force majeure circumstances

Where such an event occurs, TrueScent may suspend, modify or cancel affected arrangements where reasonably necessary.

10. Third-Party Suppliers

TrueScent may source flowers from independent growers, farms and suppliers.

Unless expressly stated otherwise in writing, TrueScent does not represent that every flower displayed on the website originates from a single farm or facility.

We may substitute or change sourcing arrangements where necessary to meet availability, quality or commercial requirements, subject to the agreed specifications of the relevant transaction.

11. Website Accuracy

We make reasonable efforts to keep the website accurate and current.

However, agricultural availability, market conditions, prices and logistics can change rapidly.

Accordingly, we do not warrant that every statement, photograph, availability indication, price, market reference or other website content will always be complete, current or error-free.

Where there is a conflict between these website Terms and a specific written commercial agreement, the specific commercial agreement will prevail for that transaction.

23. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Kenya.

Any dispute relating to these Terms shall, where appropriate, first be addressed through good-faith discussions between the parties.

Where a dispute cannot be resolved amicably, the parties may pursue the remedies available under applicable Kenyan law and through the courts or other lawful dispute-resolution mechanisms having jurisdiction.

Nothing in these Terms prevents a party from exercising a mandatory statutory right or remedy.
